1. Acceptance of Terms
By accessing and using the uxtide website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
These Terms of Service ("Terms") govern your use of our website located at uxtide.world (the "Service") operated by uxtide - Professional Web Design Agency Ltd ("us", "we", or "our"). Our Privacy Policy also governs your use of the Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
2. Services Description
uxtide provides professional web design and development services including but not limited to:
- Custom website design and development
- E-commerce platform development
- Mobile-responsive website creation
- Content management system implementation
- Search engine optimization (SEO)
- Website maintenance and support
- Digital branding and consultation
- User experience (UX) and user interface (UI) design
All services are provided in accordance with the specifications agreed upon in individual project contracts and statements of work.
3. User Accounts and Registration
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. We reserve the right to terminate accounts that we deem inactive for more than 12 months.
You are responsible for any content that you upload, post, or otherwise transmit using our services, and you represent that you have all necessary rights to such content.
4. Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of uxtide and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Unless explicitly stated otherwise, upon full payment of project fees, clients receive perpetual, non-exclusive rights to use, modify, and display the websites and designs created for their specific projects. uxtide retains the right to showcase completed projects in our portfolio and marketing materials unless otherwise agreed in writing.
All intellectual property rights in any third-party materials, plugins, or software remain with their respective owners and are licensed to us for use in providing services to our clients.
5. Payment Terms and Pricing
Payment terms, project fees, and pricing structures are defined in individual project contracts and proposals. Generally, projects require:
- 50% deposit upon project initiation
- 25% at project milestone completion
- 25% upon final delivery and client approval
All invoices are due within 30 days of the invoice date. Late payments may incur a 1.5% monthly service charge. We reserve the right to suspend or terminate services for non-payment after 15 days written notice.
Hourly rates and project-based pricing are available. Custom pricing may be negotiated for large-scale or recurring projects. All prices are in GBP (British Pounds) unless otherwise specified.
6. Project Scope and Change Management
Project scope, deliverables, timelines, and specifications are defined in individual project statements of work. Changes to approved project scope may result in additional fees and timeline adjustments.
Clients are responsible for providing timely feedback, approvals, and necessary content within agreed-upon timelines. Delays in client responses may extend project completion dates and may incur additional costs as outlined in project agreements.
We maintain project communication through agreed channels and provide regular progress updates throughout the project lifecycle.
7. Acceptable Use Policy
You agree not to use the Service:
- To violate any applicable laws or regulations
- To infringe upon the intellectual property rights of others
- To transmit malicious code, viruses, or harmful software
- To spam, harass, or abuse other users
- To access unauthorized areas of our systems
- To interfere with or disrupt the Service or servers
We reserve the right to remove any content that violates these terms and to suspend or terminate accounts for violations of acceptable use policies.
8. Privacy and Data Protection

Ongoing maintenance and support packages are available for websites and applications we develop. Support services include bug fixes, security updates, and minor content updates as outlined in individual support agreements.
This warranty does not cover issues arising from client modifications, third-party integrations, or changes made after project completion without our involvement.
10. Limitation of Liability
In no event shall uxtide, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
Our total liability to you for all damages arising out of or relating to these Terms or the Service shall not exceed the amount you paid us for the services in the 12 months preceding the claim, or £1,000, whichever is greater.
We provide services "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Indemnification
You agree to defend, indemnify, and hold harmless uxtide and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
This indemnification obligation will survive termination of these Terms and your use of the Service.
12. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service. Upon termination, your right to use the Service will cease immediately.
All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Jurisdiction
These Terms shall be interpreted and governed by the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
For international clients, we may agree to alternative dispute resolution processes if mutually beneficial and legally permissible.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
For project-specific terms and conditions, changes may require separate written agreement between uxtide and the client.
